Referral programme
terms & conditions
These terms explain how a referral qualifies, how the 30% reward is calculated and paid, and the responsibilities of everyone taking part.
Version 1.0 · Effective from
The key points
- The business owner must agree to the introduction, contact us themselves and name their referrer in their first enquiry.
- A qualifying referral earns 30% of the initial project fee actually received, excluding client VAT and amounts refunded or recovered. The commission includes any VAT payable by the referrer.
- We pay by bank transfer within three working days of receiving the qualifying funds and the payment details and any required VAT invoice needed to pay you. There is no commission cap or minimum payout threshold.
- A genuine refund or recovered client payment reduces commission. If this leaves you overpaid, the corresponding excess commission must be repaid under section 8.
- Self-referrals receive a 30% discount on the project price instead of a cash commission.
- Existing clients can qualify. Ongoing work and separate later projects are excluded.
- A list of prospects or someone else’s contact details is not a qualifying referral.
This summary is a reading aid. The numbered terms below explain the details.
1. The company and these terms
The programme is operated by AMADEUS DIGITAL LTD, trading as Amadeus Digital, a company registered in England and Wales with company number 17157771. Our registered office is 124-128 City Road, London, United Kingdom, EC1V 2NX. “We”, “us” and “our” mean that company. Umair Ahmed is your day-to-day contact; the agreement is with the company.
“You” and “referrer” mean the person or organisation making the referral. A “client” is the business or person commissioning the referred project. The “initial project” is the specific project arising from that introduction, with the scope and fee agreed with the client.
These terms cover the referral reward. Project delivery, scope, ownership, support, fees and client cancellation arrangements are covered by the separate project agreement. Our website terms cover general site use. Neither those website terms nor a project agreement removes a referrer’s rights under an agreed referral arrangement.
2. Taking part
Individuals and organisations may make referrals, including referrals involving existing clients. You must be legally able to enter the arrangement and, when acting for an organisation, have authority to do so. There is no joining fee, purchase requirement, minimum number of referrals or exclusivity requirement.
Read these terms before making a referral and tell us if anything needs clarification. We will identify the referrer, provide these terms and confirm the referral arrangement in writing, which may be by email or WhatsApp. We will ask you to confirm your agreement before administering the referral under these terms. A client naming you does not, by itself, signify your acceptance of contractual obligations.
Simply browsing this page does not constitute acceptance. These terms do not retrospectively replace a referral arrangement already agreed with you. We will not use an administrative delay in our confirmation to deprive a genuine qualifying referral of the advertised reward.
3. What qualifies as a referral
A qualifying referral meets all of the following conditions:
- You have spoken with the business owner beforehand. They know about Amadeus Digital, agree to the introduction and are willing to discuss a genuine project.
- The owner contacts us themselves, or through someone authorised to enquire for their business, using our project form, WhatsApp, email or another direct enquiry channel.
- Their first enquiry identifies you as their referrer and provides your name and an email address or WhatsApp number so we can identify and contact you.
- The enquiry results in an agreed project and we receive a payment towards its initial fee.
Sending us a prospect’s phone number, email address, mailing list or other lead information does not satisfy these conditions. We do not conduct speculative outreach for referrers. An introduction alone, an enquiry, a quotation or an unpaid invoice does not earn a payable commission.
The client remains free to decide whether to commission any work, and we remain free to decide whether we can take on a project. We do not promise to accept every enquiry or guarantee that a referral will generate income.
4. Attribution and competing referrals
The client must identify the referrer in their first enquiry. If more than one person claims the same project, the first qualifying referral receives the commission. The relevant date is the client’s direct enquiry meeting section 3, rather than the date someone sent us an unqualified lead.
We use the client’s enquiry, timestamps and relevant correspondence to establish attribution. We may ask the client and the people concerned to clarify conflicting information. We will explain the outcome and let other claimants know, without unnecessarily disclosing private information. You can challenge an error using section 19.
There is one referral reward for the same project; multiple claims do not multiply the commission. A self-referral discount and an external referral commission are alternative ways of receiving that reward. Where claims overlap, we will explain the applicable arrangement before the project is agreed.
These terms impose no automatic expiry period between a qualifying enquiry and the resulting initial project. A separate project commissioned later does not become eligible merely because you originally introduced the client.
5. The 30% commission
For a qualifying referral, the commission is 30% of the initial project fee actually received by Amadeus Digital, excluding any VAT charged to the client and any amounts subsequently refunded or recovered. “Initial project fee” means the fee for the first project resulting from that qualifying introduction, as identified in the original project agreement. An existing client can qualify under section 3; this is not a requirement that they have never commissioned us before.
We call the amount received towards that fee, after excluding client VAT and refunds or recovered payments, “qualifying client revenue”. Amounts are not deducted twice: for a refund containing VAT, only its fee element reduces revenue from which client VAT has already been excluded. Your total commission is 30% of qualifying client revenue, subject to the payment and adjustment rules in sections 7–9.
For example, an initial project fee of £1,000 excluding client VAT, paid in full without a refund or recovery, produces a £300 total referral payment. That £300 includes any VAT applicable to your commission. Our delivery costs, overheads and payment-processing charges are not deducted from the fee when calculating your 30%.
The reward excludes ongoing maintenance, hosting, subscriptions, retainers and separate work commissioned later. A new project or later additional work is not automatically part of the original referral. Any agreed change to the initial project’s fee and its effect on commission will be explained in writing; we will not reclassify the original agreed work to avoid paying commission.
There is no cap on the amount of commission and no minimum amount you must accumulate before a payment can be made. There is no payment simply for recruiting another referrer.
6. Referring your own business
Self-referrals are welcome. Contact us about your own business and mention the programme when enquiring, so the offer can be included in your quotation.
We apply a 30% discount directly to the initial project price. For example, a £1,000 project before the discount costs £700. The quotation or project agreement will show the price before the discount, the discount and the resulting amount payable.
If VAT becomes chargeable on your project, it will be calculated on the discounted project fee at the applicable rate.
You do not need to pay the undiscounted price and claim a cash payment back. No additional cash commission is payable on the same self-referred project. The discount concerns that initial project and does not automatically discount ongoing services or separate future work.
A payment or discount belonging to a company is not a personal payment to an employee or director. If the client is a separate organisation you work for, see section 12 before claiming a personal commission.
7. Payment and instalments
Clients pay us by direct bank transfer. Commission becomes payable only when we actually receive the client’s payment towards the initial project fee in our bank account. We do not require the project to be completed before paying commission on money already received. An expected payment, a transfer screenshot or an invoice that remains unpaid does not trigger a referral payment.
We pay referral commission by bank transfer within three working days after both the qualifying client funds have reached our account and we have your correct payment details and any VAT invoice required under section 9. The period starts after the later of those events. A “working day” means Monday to Friday, excluding bank holidays in England and Wales. There is no additional 30-day waiting period.
Where the client pays in instalments, Umair will communicate the referral payment arrangement with you directly and record it in writing. We calculate 30% of the qualifying fee element of each instalment received, subject to section 8, and the same three-working-day payment conditions apply. Commission on the unpaid balance is not payable in advance.
We will confirm the calculation and expected payment date. If a missing detail or a genuine payment problem prevents payment, we will explain it promptly and tell you what is needed. The limited investigation provisions in section 16 do not create a routine holding period or a general discretion to delay valid payments.
Provide accurate recipient and payment details and promptly tell us if they change. We may ask for reasonable evidence of identity, authority to receive the payment or an invoice where appropriate. We will explain what is needed and why. We will not require you to be VAT-registered, incorporate a company or reach a minimum balance to receive a valid reward.
8. Cancellations, refunds and reversals
If a project is cancelled before the client pays anything, there is no referral commission. If only part of the initial fee is paid, the unpaid balance does not generate commission.
A genuine full or partial refund of the initial project fee, or an actual reversal or recovery of that payment through the bank or a legal process, reduces qualifying client revenue by the corresponding fee amount excluding client VAT. A complaint, a refund request or a bank investigation alone is not an actual refund or recovery. We will not make or allocate a refund primarily to avoid a valid referral payment.
We first recalculate commission as 30% of the remaining qualifying client revenue and adjust any commission for that project which has not yet been paid. Qualifying client revenue is never treated as less than zero. If commission already paid to you exceeds that revised entitlement, you must repay only the excess. This is the contractual clawback. Repayment cannot exceed the commission you actually received for the affected project; it is not an obligation to reimburse the client’s entire refund, bank charges or a penalty.
For example, if we receive a £1,000 project fee excluding client VAT and pay you £300 commission, then genuinely refund £200 of that fee, qualifying client revenue becomes £800 and commission becomes £240. The overpayment to be repaid is £60. We will not recover the same amount twice or both deduct and reclaim it.
Before requesting repayment, we will provide an itemised written notice showing the project, the reason for the refund or recovery, the affected fee amount, relevant supporting evidence and the commission calculation. You have 30 calendar days from that notice to repay an undisputed amount, or contact us to agree a reasonable repayment arrangement. We will consider a reasonably raised dispute under section 19 and pause recovery of the disputed amount while we investigate. This does not make our internal decision legally final.
We will continue to pay undisputed commission on other projects. Any deduction from a separate commission payment requires your agreement or a legal entitlement established through the appropriate process. If refunded or recovered client funds are subsequently restored to us, we will recalculate your entitlement and pay any resulting commission under section 7.
VAT-registered referrers must provide any credit note or adjustment document required by VAT law when commission is reduced. The VAT-inclusive total is adjusted under the same rules; VAT is not added to the repayment or used to recover the same loss twice.
Any client cancellation, refund or price reduction must be dealt with under the project agreement and applicable law. Bank-transfer payment does not remove genuine contractual or statutory refund rights. These referral terms do not impose a blanket “no refunds” policy or make a client’s legal rights depend on whether a commission has been paid.
Completion of bespoke work does not, by itself, remove remedies for a breach of contract or statutory rights. Where a client is legally a consumer, applicable service standards, remedies and any distance-contract cancellation rights remain protected. Early commencement or completion of work only affects cancellation rights where the legal requirements have been met.
9. Tax and VAT
You are responsible for declaring referral income and meeting tax, reporting and registration obligations that apply to you. We remain responsible for obligations that the law places on us. A referral reward is not described or guaranteed as tax-free.
Amadeus Digital is not VAT-registered as at the date of these terms and does not currently add VAT to its project fees. Your own tax position may differ. Any VAT charged to a client is excluded from qualifying client revenue.
All commissions are inclusive of any applicable VAT. If you are VAT-registered, you must account for VAT within the agreed commission amount; VAT must not be added on top. Your VAT-registration status does not increase the total payment above 30% of qualifying client revenue.
VAT-registered referrers must provide a valid VAT invoice showing their VAT registration number, the applicable VAT rate and breakdown, and the agreed VAT-inclusive total. For example, a £300 commission subject to 20% VAT consists of £250 plus £50 VAT, with £300 paid in total, rather than £360.
Tell us your relevant VAT status and provide any other tax information legally needed for payment. Do not charge VAT if you are not entitled to do so. Referrers who are not VAT-registered are not required to issue a VAT invoice.
If our VAT status changes, we will make it clear in quotations and referral confirmations. The agreed commission rate remains 30%, client VAT remains excluded from its calculation, and your own applicable VAT remains included within the commission total.
10. Honest recommendations and advertising
Tell the person you are referring that you may receive a 30% referral reward if they commission and pay for a qualifying project. Do this before they decide to act on your recommendation. Do not present an incentivised recommendation as financially independent advice.
If you publish advertising, affiliate content or a social-media recommendation to earn commission, make its commercial nature clear at the start, using a prominent “Ad” label where advertising rules require it. A disclosure hidden in a profile, a later comment or a block of hashtags is not enough.
Use accurate information about our services and this offer. Do not invent testimonials, results, scarcity, guarantees or prices; buy fake engagement; impersonate us; or make promises about delivery or suitability on our behalf. We also remain responsible for our own obligations under advertising and consumer-protection rules.
11. Consent and electronic marketing
This programme is intended for genuine introductions to willing business owners. It does not authorise cold-email campaigns, bulk WhatsApp or SMS messages, automated direct messages, purchased lists, scraping personal details or repeatedly contacting someone who has declined.
Do not send or forward promotional email, text, WhatsApp or social-media messages under this programme unless the recipient has specifically requested or validly agreed to that marketing and all applicable rules are satisfied. Merely knowing someone, having their number, or thinking they would be interested is not marketing consent. Do not rely on our customer relationship or a “soft opt-in” to justify referral messages.
The client’s agreement to contact us is required for referral eligibility. It is separate from the consent that may be needed before you send them an electronic marketing message. We do not provide an automated “send to a friend” service or ask you to upload other people’s contact lists.
Incentivising messages can make us responsible as their instigator under the Privacy and Electronic Communications Regulations. These terms do not transfer or remove our own legal responsibilities. Contact us before organising any wider promotional activity.
12. Conflicts of interest and bribery
A referral reward must never be used to induce or reward improper conduct. Do not offer or request secret commissions, improper payments to public officials, or payments that breach a duty to an employer, client or other organisation.
If you influence supplier selection, procurement or spending for someone else, disclose the proposed commission to them and obtain any necessary written authorisation before proceeding. Tell us about the relationship and approval. A director or employee cannot treat their organisation’s entitlement to a project discount as an undisclosed personal commission.
Disclosure alone does not make an otherwise unlawful payment lawful. We will not make a payment prohibited by bribery, sanctions or other applicable law. Any concern will be handled on its facts, with an explanation wherever we can lawfully provide one, rather than used as a general discretion to avoid genuine commissions.
13. Your role and authority
You make an independent introduction. This programme does not appoint you as our employee, partner, sales agent or representative, and does not give you authority to bind us to a contract.
You must not negotiate or accept project terms, collect client money for us, issue our invoices, promise a project will be accepted, or hold yourself out as having that authority. The client contracts directly with Amadeus Digital, and we handle project discussions and delivery.
You choose whether to make a referral and bear any costs you choose to incur unless we agree otherwise in advance. You do not have to pay for advertising or spend money to participate.
14. Personal information
AMADEUS DIGITAL LTD is the controller of personal information we use to administer the programme. We receive your name and contact details from the client or directly from you, and keep relevant enquiry, attribution, commission, correspondence and payment records. Please make the client aware that they should share your referrer details for this purpose; do not include sensitive or unnecessary personal information.
We use this information to identify referrals, communicate with the people involved, calculate and pay rewards, prevent fraud and meet accounting obligations. Our lawful bases are performing a contract with you where necessary, legitimate interests in administering genuine referrals and resolving claims where balanced against your rights, and compliance with legal obligations for required records.
Access is limited to those who need it, including relevant service providers and professional advisers. Our website project form currently uses FormSubmit to forward enquiries; payment and communication services process information when those channels are used. We do not sell referral contact information. International transfers, where applicable, must comply with UK data-protection requirements.
We will share only information reasonably needed to explain attribution and your payment, rather than give you access to the client’s confidential project material. By taking part, you do not subscribe to unrelated marketing. When a client supplies your details, we will provide privacy information on our first communication with you, or within one month of receiving them if sooner, unless a lawful exception applies.
Referral accounting records are normally retained for six years from the end of the company financial year to which they relate, or longer where tax law or an unresolved legal matter requires it. Other enquiry and correspondence records are kept only while needed for the referral, proportionate record-keeping or resolving a dispute, and are then deleted or anonymised.
Your right to object: you can object to processing based on legitimate interests by contacting contact@amadeusdigital.co.uk. We will consider your objection under the applicable data-protection rules.
You may also request access, correction, erasure, restriction or portability where the relevant right applies. These rights are subject to legal conditions; required accounting records may need to be retained. You can complain to the Information Commissioner’s Office. Our privacy policy provides further site information; this section specifically explains referral administration.
15. Confidentiality and brand use
Protect non-public information you receive through the referral, including private client communications, proposals and payment details. Use it only for the referral, obtaining professional advice or exercising your legal rights, and disclose it only where authorised or required by law. This does not prevent reporting wrongdoing or making a legally protected disclosure.
You may identify Amadeus Digital and link to our public referral page when making a lawful, accurate recommendation. That does not grant ownership of our name, logo or website content, permission to register confusing domains or accounts, or permission to suggest an endorsement or relationship that does not exist. Ask before creating branded campaign material.
16. Suspected misuse
Do not submit fabricated enquiries, false attribution, forged approvals, stolen payment details or arrangements intended to claim a reward without a genuine paid project. Permitted self-referrals are not misuse.
If we have reasonable grounds to suspect fraud, unlawful promotion or another material breach affecting a referral, we may pause that claim while checking it. We will give reasons and a reasonable opportunity to respond where lawful, investigate without unreasonable delay and release any amount established as due.
We may refuse an ineligible or unlawful claim, or end participation for a substantiated material breach. We will explain the decision and preserve your ability to dispute it. A concern about one claim does not automatically forfeit valid rewards on unrelated referrals. Lawful recovery of a mistaken or fraudulently obtained payment remains possible.
17. Changes and programme closure
We may change or close the programme for future referrals by updating the referral page and these dated terms. Where a change affects an ongoing arrangement, we will give reasonable advance notice to the referrer using the contact details held.
A change or closure does not retrospectively reduce an agreed rate, invalidate an existing qualifying introduction or cancel an earned reward. Existing qualifying referrals continue under the terms applicable to them, including where the resulting project is agreed or paid after closure.
A different arrangement for a particular referral must be clearly explained and expressly agreed with you in writing. Continuing to browse the site is not agreement to an adverse change. Keep a copy of your referral confirmation and the version of the terms supplied to you.
18. Responsibility and legal rights
We are responsible for administering agreed referrals with reasonable care and skill, making payments due and addressing errors for which we are responsible. Each party remains responsible for their own breach of the agreement and losses recoverable under applicable law.
Nothing in these terms excludes liability for fraud or fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded. Nothing limits mandatory consumer rights, data-protection rights or rights to a remedy for our breach.
We do not guarantee the number or value of projects, or pay commission on client money never received. This does not excuse failing to pay a commission that is due.
19. Questions, complaints and disputes
Contact umair@amadeusdigital.co.uk with the client or project reference, your referral details and what you believe needs correcting. Please avoid sending unnecessary confidential documents or payment credentials.
We will investigate fairly, consider relevant evidence from you and the client, and explain our findings and calculation. If the matter needs more time, we will explain why and provide an update. Our internal decision is not legally final or a restriction on your right to seek advice or use the courts.
Raise errors as soon as reasonably possible so they can be checked, but these terms do not create a shortened contractual deadline that removes a claim otherwise available under law. Mediation or another dispute-resolution process may be used if both parties agree; it is not a compulsory barrier to legal remedies.
20. Other legal provisions
If a provision is found unlawful or unenforceable, the remaining terms continue so far as they can fairly operate without it. Not immediately enforcing a right does not, by itself, waive it.
These terms and the written referral confirmation record the referral arrangement. Nothing excludes liability for a misleading statement, removes a binding promise the law protects or overrides a separately agreed more favourable term. We will clarify a genuine discrepancy before asking you to agree to a different arrangement.
The referral agreement does not give unrelated third parties enforcement rights under the Contracts (Rights of Third Parties) Act 1999. This does not affect a client’s own rights to an agreed self-referral discount under their project agreement, or any right available independently of that Act.
We will not transfer our payment obligations in a way that reduces your rights without your agreement. An assignment or payment to another recipient must be properly authorised and checked; it must not be used to evade tax, sanctions, employer approval or another legal requirement.
21. Applicable law and courts
The referral agreement is governed by the law of England and Wales. For business-to-business disputes, the courts of England and Wales have jurisdiction.
If you act as a consumer, this choice of law and courts does not deprive you of mandatory protections or rights to bring proceedings in the courts of your home jurisdiction where applicable law provides them. In particular, consumers living in Scotland or Northern Ireland may use their local courts where entitled to do so.
